1. Acceptance of Terms

By accessing or using any services, software, or products provided by StelOptica Systems, LLC ("StelOptica," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use our services.

2. Description of Services

StelOptica provides enterprise-grade intelligence software solutions, consulting services, and related products including but not limited to:

  • StelOps Intelligence Suite (OSINT platform)
  • Intelligence analysis software and tools
  • Professional consulting and technical services
  • Future SaaS platforms and applications
  • Research and development products (subject to separate restrictions)

3. Eligibility and Geographic Restrictions

3.1 Authorized Users

Our services are available exclusively to:

  • Government agencies and contractors of NATO member countries
  • Private organizations and individuals located in NATO member countries
  • Members of the U.S. Intelligence Community
  • Qualified commercial entities in NATO territories

3.2 Prohibited Users

The following entities are explicitly prohibited from using our services:

  • Any person or entity located outside NATO member countries
  • Domestic law enforcement agencies of the United States
  • Any entity subject to U.S., EU, or other applicable sanctions
  • Any entity engaged in activities contrary to the interests of NATO member countries

3.3 Export Control Compliance

User acknowledges that our products and services may be subject to U.S. export control laws, including the International Traffic in Arms Regulations (ITAR) and Export Administration Regulations (EAR). User agrees to comply with all applicable export control laws and regulations.

4. Account Registration and Security

4.1 Account Information

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information. Required information may include:

  • Full legal name and organizational affiliation
  • Contact information (email, phone, address)
  • Professional credentials and security clearance information
  • Intended use cases and operational requirements

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use of your account.

4.3 Verification Process

StelOptica reserves the right to verify User identity, organizational affiliation, and eligibility at any time. Failure to provide requested verification may result in account suspension or termination.

5. Acceptable Use Policy

5.1 Permitted Uses

Our services are designed for legitimate intelligence, security, and research purposes by authorized users in accordance with applicable laws and regulations.

5.2 Prohibited Uses

You may not use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in activities that could harm national security interests of NATO member countries
  • Conduct unauthorized surveillance of private individuals
  • Violate privacy rights or data protection laws
  • Distribute malware, conduct cyberattacks, or engage in other malicious activities
  • Reverse engineer, decompile, or attempt to extract source code from our software
  • Circumvent any security measures or access controls
  • Use our services for domestic law enforcement purposes within the United States

5.3 User Responsibility

Users are solely responsible for how they use our tools and services. StelOptica does not control, monitor, or assume responsibility for User's specific applications or activities conducted using our services.

6. Intellectual Property Rights

6.1 StelOptica IP

All software, documentation, trademarks, trade secrets, and other intellectual property provided by StelOptica remain our exclusive property. Users receive only a limited, non-exclusive, non-transferable license to use our services as specified in these Terms or separate license agreements.

6.2 User Data

You retain ownership of any data you input into our systems. By using our services, you grant us a limited license to process such data solely for the purpose of providing services to you.

6.3 Feedback

Any feedback, suggestions, or improvements you provide regarding our services may be used by StelOptica without compensation or attribution.

7. Data Protection and Privacy

7.1 GDPR Compliance

For users in the European Union, we comply with the General Data Protection Regulation (GDPR). Our privacy practices are detailed in our Privacy Policy, incorporated by reference.

7.2 Data Processing

We collect and process personal data necessary for:

  • Service provision and account management

  • Legal compliance and export control verification
  • Service improvement and development

7.3 Data Security

We implement appropriate technical and organizational measures to protect user data, including encryption, access controls, and regular security assessments.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice when feasible.

9. Payment Terms

Pricing varies by service type and may include, but is not limited to:

  • Subscription fees for SaaS platforms
  • One-time licenses for software products
  • One-time fees for hardware products
  • Custom pricing for enterprise solutions and consulting services

9.2 Payment Processing

Payment terms are specified in separate agreements or invoices. Late payments may result in service suspension.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Damages

IN NO EVENT SHALL STELOPTICA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

10.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO STELOPTICA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless StelOptica, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights
  • Any misuse or unauthorized distribution of our services

12. Termination

12.1 Termination by Either Party

Either party may terminate this agreement with appropriate notice as specified in separate service agreements.

12.2 Immediate Termination

We may immediately terminate or suspend your access if:

  • You violate these Terms
  • You become ineligible under our geographic or user restrictions
  • Required by law or government directive
  • You pose a security risk to our systems or other users

12.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. We may retain certain data as required by law or legitimate business purposes.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Texas and applicable federal law, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Austin, Texas.

13.3 Jurisdiction

For matters not subject to arbitration, the federal and state courts located in Austin, Texas shall have exclusive jurisdiction.

14. Compliance and Regulatory Matters

14.1 Export Controls

Users acknowledge that our products may be subject to export control regulations. Users are responsible for obtaining any necessary export licenses and complying with all applicable regulations.

14.2 Security Clearances

Certain services may require appropriate security clearances. Users must maintain valid clearances as required for their specific service level.

14.3 Regulatory Changes

We reserve the right to modify our services or these Terms to comply with changing regulatory requirements, including ITAR, export controls, or other applicable laws.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and StelOptica.

15.2 Modifications

We may update these Terms periodically. Continued use of our services after changes constitutes acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

15.5 Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control.
